The artist agreement covering T9music music distribution services, royalties and rights.

Quick answer: These are the terms on which T9music, a brand of Kumavat Digital Private Limited, distributes music on an artist’s behalf. They cover the distribution licence, royalty payment, the artist’s retained ownership of their music rights, content and takedown rules, and how either side ends the agreement.

This Agreement ("Agreement") governs the relationship between Kumavat Digital Private Limited, operating the T9Music™ brand, and You ("the Artist/Label") in respect of any musical works or sound recordings ("Works") that you submit for inclusion in any of the services ("Service") as defined on t9music.com & new.t9music.com.

1. Grant of Rights

In consideration of the sums payable to you and the services provided by us pursuant to this Agreement, you grant to us and our licensees for the term of this Agreement:

A non-exclusive, worldwide license to use, reproduce, distribute, display, publicly perform, exhibit, broadcast, transmit, and make available by all means and media (whether now known or existing in the future) the Works for distribution in the Service and for all promotional purposes.
The right to use, reproduce, and display in the Service any trademarks, service marks, or trade names relating to you and the name and likeness of the Artist/Band whose performances are embodied in the Works.
Where you subscribe to our PPL Airplay Royalty Registration Service, you additionally grant to us in respect of the Works for the term of this Agreement:

A royalty-free, worldwide exclusive license of the following rights as defined under the Indian Copyright Act, 1957 (and its amendments): The Performing Right, The Distribution Right, The Communication to the Public Right (New Media), The Dubbing Right, The Foreign Rights Management Right, and International New Media Communication & Dubbing Rights.

2. Copyright & Moral Rights

You grant to us all necessary consents under the Indian Copyright Act, 1957 and any modification or re-enactment thereof to enable us to make the fullest possible use of the Works in accordance with this Agreement. The Artist shall retain copyright ownership at all times.

We respect your moral rights as the creator of the Works and will not make any modifications that misrepresent or prejudice your reputation as the original creator, in compliance with Section 57 of the Indian Copyright Act, 1957.

3. Service & Pricing

Standard Service prices shall be listed at t9music.com, or agreed verbally or in writing. Services carried out shall be as listed on the website at the time of purchase.

We reserve the right to renegotiate the payment amount in the event that additional non-standard services are requested. Prices for such services shall be agreed by both parties in writing and paid in full before commencement.
We are not obliged to provide any services above and beyond what has been paid for.
Upon any third-party failure to fulfil service, we shall assist with "best endeavours" but are not responsible or liable for such failure.

4. Royalty Payments

Minimum Payout Threshold: Payment shall only be made to You if accumulated outstanding earnings exceed ₹5,000 (Five Thousand Indian Rupees). This threshold shall be carried over until such time as it is attained.

Only monies earned within the preceding period shall be paid, and only if received from the retailer/licensee.
Any applicable transaction charges shall be passed on to You as regards royalty payment.
You agree that Your user account and revenue may be frozen at Our discretion if We believe that materials submitted to Us by You are illegal, fraudulent, or violate our Terms of Service or those of Our partners.
If submitted material is found to be illegal or fraudulent, service fees paid to Us and subsequent royalties shall be forfeited.
Royalty payments will only be made once We have received appropriate and verified licensing documents covering the volume of sales in appropriate territories.

5. Artist Warranties & Representations

You warrant, agree, and undertake on behalf of yourself that:

The Works are original to you and have not been copied from any third party.
The Works do not infringe any copyright, trademark, or other proprietary or intellectual property rights of any third party.
The Works do not include any material which is defamatory of any party or obscene.
You are not under any disability, restriction, or prohibition (whether contractual or otherwise) with respect to entering into and performing this Agreement.
The Works do not contain any viruses or other programming routines that detrimentally interfere with computer systems or data.
You have obtained appropriate licensing for cover versions required for release within specific territories.

6. Indemnification

You agree to indemnify and reimburse Us in full via Your royalty balance and/or separate payment against any claims, liabilities, damages, losses, or expenses (including legal fees) suffered or incurred by Us as a result of:

Your breach of any of the warranties or undertakings in this Agreement.
Any claims by any third party, including but not limited to claims for payment of outstanding debts for services provided or goods supplied by such third parties.

7. Term & Termination

Unless otherwise terminated, the term of this Agreement shall be one (1) year from the Effective Date and will automatically renew for successive one-year periods unless either Party provides written notice at least 3 months before the next anniversary.

Termination by Artist: This Agreement cannot be terminated before completing one year. After one year, you must submit a written termination letter at least 3 months prior (including email notification), provided there are no outstanding payments due to Us.
Termination by Company: We have the right to terminate immediately if We believe you are engaging in fraudulent or illegal activity, or following any behaviour deemed threatening, disrespectful, or unprofessional. Breach of terms results in non-payment of royalties.
Upon contract termination, we shall instruct our partners within 30 days to remove recordings from all platforms. We are not responsible for third-party exploitation after removal instruction.

Take-Down Charges: ₹1,500 (Fifteen Hundred Rupees) per song shall apply for removal of content from distribution platforms.

8. Content Submission

The Artist shall submit all content within a reasonable and pre-agreed timeframe for release and distribution in an agreed format. We shall try our best endeavours to perform the agreed Services upon late submission. We are not obliged to commence Services before receipt of ALL necessary content.

T9music is not responsible for any third-party failure to make content commercially available, remove content from sale, adhere to instructions submitted, or fulfil any action requested.

9. Support & Communication

The Artist and representatives shall at all times refer to available help material before contacting us. This includes all resources provided by us — help documents, online data, written and oral advice. Violation of this policy may lead to Agreement cancellation after one written warning.

10. Confidentiality

Each party shall keep confidential all information disclosed within the Agreement for the duration of the agreement and up to two (2) years after termination.

11. PPL/IPRS Registration

In the event that we are required to perform PPL/IPRS registration on your behalf, you grant us permission to act as rights holders for all submitted tracks. This is for purely administrative purposes and is a legal requirement. This does not affect any other copyrights mentioned in this Agreement.

12. Fair Usage Policy

A "Fair Usage Policy" applies to the Unlimited Distribution package:

This package is intended for individual artists rather than labels.
Applies only to releases uploaded by You via t9music.com.
Limited to digital distribution to the "Essentials" package only, with no additional services or bolt-ons.
Fair Use means using the product or services consistent with normal patterns of usage and not exceeding, on a repetitive basis, normal usage patterns associated with the type of customer.

13. Force Majeure

Neither party shall be liable for failure to perform or delay in performing any obligation under this Agreement if caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, civil commotion, pandemic, natural disaster, or industrial dispute. If such circumstances make performance impossible for more than three months, the Agreement shall be treated as frustrated and terminated.

14. Governing Law & Dispute Resolution

This Agreement shall be construed and governed by the laws of India. The parties irrevocably submit to the exclusive jurisdiction of the courts in India. In the event of a dispute, both parties undertake to attempt settlement through good-faith mediation before commencing arbitration or litigation, in accordance with the Arbitration and Conciliation Act, 1996.

15. Consumer Protection & Data Privacy

In accordance with the Consumer Protection Act, 2019, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023:

We shall not engage in any unfair trade practices as defined under the Consumer Protection Act.
All personal data collected from Artists shall be processed in compliance with Indian data protection laws.
Artists have the right to access, correct, and request deletion of their personal data subject to contractual obligations.
We implement reasonable security practices and procedures as prescribed under Section 43A of the IT Act, 2000.

16. Entire Agreement & Severability

This Agreement constitutes the entire agreement between the parties. No terms, obligations, representations, promises, or conditions (oral or written, express or implied) have been made or relied upon other than those contained herein.

The provisions contained in each clause shall be enforceable independently of each other. If any provision is found void but would be valid if some part were deleted, the provision shall apply with such modification as necessary to make it valid.

17. Third-Party Rights

The parties agree that no third party will acquire any rights under this contract. No third-party rights are intended or conferred under this Agreement.

18. Age Requirement

By accepting this Agreement, you confirm that you are at least 13 years of age. If you are under 18, you must have the consent of a parent or legal guardian.

By creating an account on T9music (t9music.com) or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and the T9Music Artist Agreement.
